India’s second largest automobile company Mahindra & Mahindra (M&M) may buy a 50 percent stake in the Indian business of Volkswagen Group company Skoda Auto. According to Moneycontrol, the two companies are in the final round of discussions regarding this deal. The deal is likely to be done in a few weeks.
Preparing for a big deal in the auto sector! Meanwhile, the valuation of the German auto company for stake sale is expected to be close to 1 billion dollars (₹8300 crore).
Deal terms are still being worked on. It also includes deciding the corporate structure for the transaction.
According to the report, Skoda Auto wants to sell its initial stake to Mahindra in a deal that combines both the company’s shares and cash.
The transaction is expected to help both M&M and Skoda Auto to better utilize their existing manufacturing capacity. Along with this, this deal can prove beneficial for M&M’s passenger vehicle business.
Both Mahindra and Skoda Auto have their major manufacturing plants in Chakan, Pune. M&M’s plant here has the capacity to make 840,000 vehicles annually.
Skoda can produce 180,000 cars annually in its plant. With the acquisition, both companies will be able to manufacture more vehicles by utilizing the capacity of their plants in a better way.
The manufacturing plants of both the companies located in Chakan can also be used to make electric vehicles. For this, an agreement has already been reached between the two groups for the supply of components.
M&M has announced the signing of an agreement with Volkswagen Group on February 16 to supply components for Volkswagen’s modular electric vehicle platform.
Apart from this, the acquisition will give M&M access to Skoda’s range of hatchback and sedan cars.

रिपोर्ट के मुताबिक, “अगर स्कोडा अपनी भारतीय यूनिट में और हिस्सेदारी बेचने का फैसला करती है, तो M&M के पास इनकार करने का पहला अधिकार होगा.”
जानकारी के मुताबिक, दोनों पक्ष इस बात पर भी चर्चा कर रहे हैं कि क्या M&M इस अधिग्रहण के तहत स्कोडा ऑटो प्लेटफॉर्म पर को-ब्रांडिंग और को-बैजिंग वाली गाड़ियां बनाएगी?
रिपोर्ट के मुताबिक,ये बातचीत अभी तक पूरी नहीं हुई है, पर अब इसमें कोई बड़ी बाधा (डील-ब्रेकर) आने की संभावना भी नहीं है.
स्कोडा ऑटो वोक्सवैगन के प्रवक्ता ने कहा “स्कोडा ऑटो, वोक्सवैगन ग्रुप और उसके ब्रांडों की ओर से भारत में ऑपरेशन को लीड कर रही है.

इस साल की शुरुआत में वोक्सवैगन ग्रुप और महिंद्रा इलेक्ट्रिक प्लेटफॉर्म के लिए वोक्सवैगन के MEB के कंपोनेंट्स की सप्लाई के लिए पर एक समझौते पर हस्ताक्षर कर चुके हैं.
यह दोनों कंपनियों के बीच ई-मोबिलिटी के सेगमेंट में सहयोग की एक महत्वपूर्ण डील थी. वोक्सवैगन ग्रुप और महिंद्रा सहयोग की संभावनाओं को आगे बढ़ाने पर विचार कर रहे हैं.
कितनी वाजिब है ये डील-स्कोडा ऑटो कई साल से भारत के कंपटीटिव कार मार्केट में पैठ बनाने के लिए संघर्ष कर रही है. वित्त वर्ष 24 में स्कोडा ऑटो वोक्सवैगन ने कम बिक्री और ज्यादा लागत के चलते अपने नेट प्रॉफिट में 69 फीसदी की बड़ी गिरावट दर्ज की है. कंपनी को कुल 96 करोड़ रुपए का घाटा हुआ है.
15 जुलाई को मनीकंट्रोल ने बताया था कि स्कोडा ऑटो M&M और JSW के साथ बातचीत कर रही है. जानकारी के मुताबिक JSW दोनों के साथ बातचीत वैल्यूएशन को लेकर दोनों पक्षों में असहमति के चलते नाकाम हो गई.
दूसरी ओर M&M ने हिस्सेदारी लेने के लिए पार्शियल कैश पेमेंट वाला बेहतर प्रस्ताव देकर डील को अपने पक्ष में कर दिया. जुलाई में स्कोडा ऑटो के ग्लोबल सीईओ क्लॉस जेलमर ने कहा कि कंपनी भारत में एक डोमेस्टिक मैन्युफैक्चरिंग पार्टनर के साथ बातचीत कर रही है, जिससे इंजीनियरिंग, बिक्री और खरीद क्षमता तक एक्सेस संभव हो सकेगा.
